Terms of Service
Please read these terms carefully before using Silux Chat.
1. Agreement to Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you", "your") and Silux Chat Ltd ("Silux Chat", "we", "us", "our"), a company registered in England and Wales, with its registered address in Chesterfield, S43 3QE, United Kingdom.
By accessing or using our Smart Chatbot and live chat platform at www.siluxchat.com (the "Service"), you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Description of Service
Silux Chat provides a cloud-based software-as-a-service (SaaS) platform that enables businesses to:
- Create and deploy Smart Chatbots on websites and messaging channels
- Manage live chat conversations with customers
- Automate customer support responses using Silux Chatbot technology
- Integrate with WhatsApp Business and other messaging platforms
- Analyse conversation data and customer engagement metrics
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorised access to your account
- Be responsible for all activity that occurs under your account
You must be at least 18 years old to create an account. By registering, you confirm that you meet this age requirement and have the legal capacity to enter this agreement.
4. Subscription Plans and Payment
4.1 Plans
Silux Chat offers subscription plans as described on our Pricing page. Features and limits vary by plan.
4.2 Payment
Paid subscriptions are billed in advance on a monthly or annual basis. All prices are in USD unless stated otherwise. We use Stripe for payment processing. By providing payment details, you authorise us to charge the applicable fees.
4.3 Cancellation and Refunds
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not offer pro-rata refunds for unused portions of a billing period, except where required by applicable UK consumer law.
4.4 Price Changes
We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable law or regulation
- Transmit spam, phishing messages, or unsolicited bulk communications
- Collect personal data without appropriate consent or lawful basis
- Impersonate any person or entity
- Interfere with or disrupt the Service or its servers
- Attempt to gain unauthorised access to any part of the Service
- Deploy chatbots for deceptive, fraudulent, or harmful purposes
- Violate the privacy rights of your end users
- Generate or distribute illegal, defamatory, or obscene content
6. Data Processing and GDPR
Where you use Silux Chat to collect and process personal data of your customers or website visitors, you are the data controller and Silux Chat acts as your data processor. Our Privacy Policy and Data Processing Agreement govern this relationship.
You are responsible for ensuring you have a lawful basis for collecting and processing your customers' data through the Service and for maintaining an appropriate privacy notice on your own website.
7. Intellectual Property
7.1 Silux Chat IP
The Service, including its software, design, trademarks, and content, is owned by Silux Chat Ltd and is protected by UK and international intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service.
7.2 Your Content
You retain ownership of all content you upload, including knowledge base materials, chatbot scripts, and conversation data. You grant us a limited licence to use this content solely to provide the Service to you.
8. Service Availability and SLA
We aim for 99.9% uptime on paid plans. Planned maintenance will be announced in advance where possible. We are not liable for downtime caused by factors outside our reasonable control (force majeure events), including third-party service outages.
9. Limitation of Liability
To the maximum extent permitted by English law, Silux Chat's total liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the fees paid by you to us in the 12 months preceding the claim, or (b) £100.
We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable UK law.
10. Termination
We reserve the right to suspend or terminate your access to the Service at any time for material breach of these Terms, after giving you reasonable notice where practicable. Upon termination, you may request an export of your data within 30 days.
11. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless you are a consumer in a different UK jurisdiction, in which case mandatory local consumer protection laws may apply.
12. Changes to Terms
We may update these Terms from time to time. Where changes are material, we will provide at least 14 days' notice by email or prominent notice on the platform. Continued use after that period constitutes acceptance.
